1. Contract Duration
- The initial contract period is three (3) months from the start date.
- It automatically renews for another three months unless either party provides at least ten (10) days’ written notice before the current term ends.
2. Pricing & Adjustments
- Mushrooms are priced between USD $7 and $12 per pound, other products with fixed price sent to our regular clients.
- Deliveries are made to the agreed airport or pickup location.
- Prices may change weekly based on market or harvesting costs, with notice.
- Buyer agrees to these adjustments as long as they remain within the stated price range.
3. Target Quantity & Deposit
- Buyer selects a weekly volume (e.g., 60 lbs, 100 lbs, 200 lbs, or other). Minimum 60 LBS weekly.
- Deposits vary according to the chosen volume and discount level.
- The deposit is due upon signing (or as agreed) and serves as security for default or late payments.
- Any remaining deposit after final reconciliation is refunded if there’s no outstanding balance.
4. Payment & Invoicing
- Seller invoices the Buyer weekly for the actual shipped amount.
- Payment methods include wire transfer (Buyer covers transfer fees) or PayPal/credit card (4 percent fee).
- Payment is due either within seven (7) days of invoice (if a deposit was made) or upon invoice receipt (if no deposit is required).
5. Delivery & Risk of Loss
- Deliveries are scheduled for a preferred day and airport/pickup location.
- Risk of loss transfers to the Buyer upon delivery at the agreed location.
- International orders are considered “delivered” once they depart the U.S. port.
6. Force Majeure & Delays
- Neither party is liable for delays caused by events beyond their control (e.g., natural disasters, airline strikes).
- Both parties agree to cooperate to reschedule or arrange replacements if such events occur.
7. Spoilage & Weight Loss
- An extra 8–10 percent product per case is included to account for normal spoilage and weight loss.
- If more than 10 percent of a delivery is spoiled, Buyer must provide photo/video evidence within 24 hours for possible credit or replacement.
8. Sorting & Cleaning
- Seller will make reasonable efforts to sort and clean mushrooms before shipping.
- Special cleaning requests may incur additional fees by mutual agreement.
9. Food Safety & Availability
- Buyer is responsible for ensuring mushrooms are cooked thoroughly before consumption.
- Buyer checks quality upon receipt.
- Supply depends on seasonal conditions; if shortages occur, both parties agree to coordinate delivery adjustments.
10. Insurance & Liability
- Seller carries product liability insurance for its operations.
- Buyer must maintain coverage for its handling, storage, and distribution.
- Seller is not liable for issues once product is delivered and under Buyer’s care.
11. Refrigeration
- Buyer is responsible for proper refrigeration upon receipt.
- Airlines typically do not provide refrigeration; Seller may include ice packs, especially in warmer seasons.
12. Termination
- Seller may immediately end the contract if Buyer fails to pay on time.
- Buyer may terminate if over 30 percent of the product is spoiled (with documented proof).
- Deposits and prorated payments are non-refundable if Buyer cancels early without cause.
13. Indemnification
- Buyer will indemnify and hold Seller harmless for any claims or liabilities arising from Buyer’s handling, storage, sale, or use of the mushrooms once delivered.
14. Entire Agreement
- These terms supersede any prior agreements regarding the purchase of wild-harvested mushrooms.
- Any modifications must be agreed upon in writing and signed by both parties.
